Terms and Conditions

CAPRA PROJECTS (PTY) LTD | Terms & Conditions
 

1. Payment Terms

Installation Contracts

  • A 70% deposit is required upon placement of the order.

  • A further 20% is payable upon confirmation of the installation date and before installation commences.

  • The final 10% balance is payable immediately upon practical completion.

Supply-Only Contracts

  • A 70% deposit is required upon acceptance of the quotation.

  • The remaining 30% balance is payable before collection or delivery.

Small and Custom Orders

  • All custom steel orders and orders below R8,500.00 must be paid in full at the time of order.

General Payment Conditions

  • All invoices are payable upon presentation by electronic funds transfer only.

  • A signed quotation, written acceptance or payment of any deposit constitutes formal acceptance of the quotation and these Terms and Conditions.

  • No retention amounts are permitted.

  • Snag-list items, minor adjustments or guarantee-related work do not entitle the client to withhold payment of any amount that has become due.

Cancellations, Deposits and Refunds

Written Cancellation Requests

  • All cancellation requests must be submitted to Capra Projects in writing.

  • Written notice of cancellation must be provided within 24 hours of payment.

  • Submission of a cancellation request within 24 hours does not automatically entitle the client to a full refund.

  • A minimum administration fee of R450.00 will apply to any cancellation accepted by Capra Projects.

Custom and Made-to-Measure Orders

  • Frameless glass, aluminium products, custom steelwork, staircases, powder-coated products and any other items manufactured, cut, ordered or prepared according to the client’s measurements, specifications, design, colour or selected finish are regarded as custom-made or special-order goods.

  • Once final measurements or specifications have been approved, materials have been ordered, manufacturing has commenced, or services have been performed, the order may not be cancelled, altered or refunded due to a change of mind.

  • Payments made toward custom-made or special-order goods are non-refundable once costs have been incurred, except where a refund or other remedy is required by applicable law.

Cancellation Before Manufacturing or Procurement

Where Capra Projects agrees to a cancellation before materials have been ordered and before manufacturing has commenced:

  • The R450.00 administration fee will be deducted.

  • Capra Projects may deduct a reasonable cancellation charge.

  • The client remains liable for all measurements, consultations, drawings, design work, administration, labour, transport, supplier charges, materials and other costs already incurred.

  • Any refundable balance will only be calculated after all applicable costs and charges have been deducted.

  • Any approved refund will be processed within a reasonable period after the final cancellation amount has been calculated.

Deposits

  • Deposits secure production capacity and may be used toward site measurements, consultations, design work, drawings, administration, procurement, materials, supplier commitments and production scheduling.

  • Deposits are therefore not automatically refundable.

  • No refund will be due where the costs incurred by Capra Projects are equal to or greater than the amount already paid by the client.

No Change-of-Mind Refunds

No refund will be provided where:

  • The client changes their mind after accepting the quotation.

  • The client no longer requires the products or services.

  • Manufacturing, preparation, cutting, powder coating or procurement has commenced.

  • Products have been manufactured according to the approved measurements, drawings or specifications.

  • Materials have been specially ordered or allocated to the client’s project.

  • The client supplied incorrect measurements, drawings, colour codes, samples, specifications or other information.

  • The client requests changes after approving the design, dimensions, colour, configuration or specification.

  • The client fails to ensure that the site is ready for installation.

  • The client experiences a change in personal or financial circumstances.

  • Delays arise from circumstances beyond Capra Projects’ reasonable control.

Defective or Non-Compliant Goods or Services

  • Nothing in these Terms and Conditions excludes or limits any rights or remedies that the client may have under the Consumer Protection Act or other applicable South African legislation.

  • Where goods are proven to be defective, unsafe or materially inconsistent with the approved specifications, or where services fail to meet standards required by law, the matter will be assessed and handled in accordance with the applicable legislation.

  • Capra Projects must be given a reasonable opportunity to inspect the goods or workmanship and, where legally permitted and reasonably appropriate, repair or remedy the issue before a refund or replacement is considered.

 

2. Guarantees and Ownership

Ownership

  • All goods supplied or installed remain the property of Capra Projects (Pty) Ltd until the account has been paid in full.

  • Ownership does not pass to the client merely because goods have been delivered or installed.

Workmanship Guarantee

  • Capra Projects’ workmanship is guaranteed for 12 months from the date of practical completion.

  • Hardware, motors, locks, hinges, fittings and other third-party products are subject to the applicable manufacturer or supplier warranties.

Guarantee Conditions

  • Guarantees are only valid once the client’s account has been paid in full.

  • Snag-list items fall under the workmanship guarantee but do not justify withholding the final payment.

  • The guarantee does not cover normal wear and tear, misuse, accidental damage, unauthorised alterations, lack of maintenance, movement in the building structure or work performed by third parties.

  • Capra Projects must be given reasonable access and an opportunity to inspect and remedy any valid workmanship-related issue.

 

3. Product Specifications and Aperture Preparation

Measurements

  • Apertures will be measured by Capra Projects before manufacturing commences.

  • For supply-only contracts, the client is entirely responsible for the accuracy of all measurements supplied.

  • Capra Projects will not be liable for products that do not fit where the products were manufactured according to measurements supplied or approved by the client.

Final Finishes

  • Balustrade measurements can only be finalised after staircases have been fully cladded and tiled.

  • Hardware required beneath Cemcrete or similar finishes must be installed before the Cemcrete application.

  • Capra Projects will not be responsible for additional costs or delays resulting from finishes being completed before the required hardware is installed.

Made-to-Measure Products

  • Orders may not be cancelled, altered or refunded once final measurements or specifications have been approved, materials have been ordered or manufacturing has commenced.

  • Any alteration approved by Capra Projects will be quoted separately and will be entirely for the client’s account.

  • Changes may affect manufacturing and installation lead times.

  • These provisions remain subject to the client’s rights under applicable consumer-protection legislation.

Accuracy

  • Clients are responsible for checking and confirming the accuracy of all descriptions, quantities, dimensions, finishes, colours and specifications contained in the quotation.

  • Only changes provided and accepted in writing will be recognised.

  • Verbal instructions or changes will not be binding unless confirmed in writing by Capra Projects.

 

4. Manufacturing and Lead Times

Standard Items

  • The estimated lead time is approximately 21 working days from the date of final measurement, specification approval and receipt of all required payments.

  • Lead times are estimates and do not constitute guaranteed completion dates unless expressly confirmed in writing.

Special Orders and Powder Coating

  • Special colours and powder-coated items generally require an additional lead time of approximately 15 working days.

  • Clients must provide accurate colour codes, specifications or physical colour samples.

  • Capra Projects will not be responsible for colour variations resulting from incorrect codes, samples, lighting conditions, material differences or manufacturing batches.

Force Majeure

Capra Projects will not be liable for delays or failure to perform caused by circumstances beyond its reasonable control, including:

  • Acts of God

  • Severe weather conditions

  • Industrial action

  • Supplier delays

  • Material shortages

  • Transport delays

  • Load-shedding or utility interruptions

  • Civil unrest

  • Government restrictions

  • Equipment breakdowns

  • Any other event beyond Capra Projects’ reasonable control

 

5. Delivery and Risk

Transfer of Risk

  • Risk in the goods passes to the client immediately upon delivery to the site, collection by the client or collection by the client’s appointed transporter.

  • Where goods are delivered before installation, the client is responsible for ensuring that they are stored safely and securely.

Condition of Goods

  • Goods delivered in protective packaging are deemed to have been received in good condition unless visible damage is reported to Capra Projects in writing immediately upon delivery.

  • Capra Projects accepts no responsibility for theft, loss, misuse or damage occurring after delivery.

  • Damage caused by other contractors, site personnel, security personnel, cleaners, builders or the client will be for the client’s account.

 

6. Installation Requirements

Site Readiness

  • The site must be fully prepared before installation, including the completion of plastering, painting, tiling and other relevant building work.

  • Recessed glass balustrades are an exception and must be coordinated with Capra Projects before the relevant finishes are completed.

  • Delays, additional visits, removal, storage or reinstallation resulting from an incomplete or unsuitable site will incur additional charges.

  • The client is responsible for ensuring that access areas are safe, clear and suitable for installation.

Utilities

  • The client must provide access to a safe and suitable electricity supply on installation days.

  • Any costs arising from the absence of electricity or other required utilities will be for the client’s account.

Access

  • Estate, complex, security, access, registration, induction, permit or contractor fees are for the client’s account.

  • The client must arrange all access permissions before the installation team arrives.

  • Delays caused by access restrictions may result in additional charges.

Operating Hours

  • Monday to Thursday: 08:00–17:00

  • Friday: 08:00–14:00

  • Work required outside these hours, including weekends and public holidays, will be subject to additional charges.

  • Any after-hours work must be agreed to in writing before it is undertaken.

Limitations of Liability

  • Capra Projects does not guarantee waterproofing where tracks or channels are installed directly onto tiles or existing finished surfaces.

  • Capra Projects is not responsible for pre-existing defects, structural movement or uneven floors, walls, slabs or apertures.

  • Capra Projects will not be liable for minor or unavoidable damage to tiles, plaster, paint or surrounding finishes resulting from standard drilling, fixing or installation procedures.

  • Reasonable care will be taken during installation, but any repair or touch-up work to surrounding finishes is excluded unless specifically included in the quotation.

  • Scaffolding is provided for work up to a height of 3 metres only.

  • Specialised scaffolding, lifting equipment or access equipment required above 3 metres will be quoted separately and will be for the client’s account.

 

7. Quote Validity and Acceptance

Validity

  • Quotations are valid for 30 working days from the date of issue unless otherwise stated.

  • Capra Projects reserves the right to revise pricing before acceptance where supplier prices, exchange rates, material costs or market conditions change unexpectedly.

Exclusions

Unless expressly included in the quotation, the following are excluded:

  • Building work

  • Brickwork

  • Plastering

  • Painting

  • Tiling

  • Waterproofing

  • Electrical work

  • Structural engineering

  • Repairs to existing finishes

Material and Specification Changes

  • Any change to the materials, quantities, dimensions, design, finish or specification after acceptance may result in revised pricing and lead times.

  • No change will be implemented until the revised price has been accepted in writing and any required additional payment has been received.
     

8. Cancellation After Acceptance of Quotation

  • • A signed quotation, written acceptance, instruction to proceed, or payment of any deposit constitutes formal acceptance of the quotation and these Terms and Conditions and creates a binding agreement between the client and Capra Projects (Pty) Ltd.

  • • Where the client cancels, terminates or elects not to proceed with an accepted quotation for reasons not caused by any breach, default or failure by Capra Projects, Capra Projects reserves the right to charge a cancellation fee of up to 25% of the total quotation value excluding VAT, subject to applicable law.

  • • This cancellation fee may apply where the client changes their mind, no longer requires the work, is unable or unwilling to proceed, experiences a change in personal or financial circumstances, or where the site is not ready or cannot be made ready for measurement, manufacture or installation within a reasonable period.

  • • The cancellation fee may apply whether or not materials have already been purchased, ordered or allocated and whether or not manufacturing has commenced, as acceptance of the quotation reserves Capra Projects’ production and installation capacity and may involve administration, planning, scheduling, consultations, measurements, design work and the allocation of company resources.

  • • Any project-specific costs already incurred by Capra Projects, including materials, supplier commitments, manufacturing, measurements, drawings, design work, labour, transport, storage or other costs, may also be taken into account when determining the final cancellation amount, to the extent permitted by law.

  • • Where applicable consumer-protection legislation requires a cancellation charge to be reasonable in the circumstances, the cancellation fee will be determined accordingly.

  • • No cancellation fee will apply where the cancellation results directly from a material breach by Capra Projects which Capra Projects has failed to remedy within a reasonable period after receiving written notice of the breach.

  • • Nothing in this clause limits or excludes any rights that a client may have under the Consumer Protection Act or other applicable South African legislation.
     

9. General

Marketing

  • Capra Projects reserves the right to photograph or record completed installations for use in its portfolio, website, catalogues, social media and other marketing material.

  • No personal information or identifying client details will be published without consent.

Amendments

  • * Capra Projects may amend or update these Terms and Conditions from time to time.

  • * The latest version of the Terms and Conditions will apply to all quotations, orders and projects where the client has not signed or otherwise accepted an earlier version.

  • * Acceptance includes signing the quotation or Terms and Conditions, providing written approval, making any payment, or instructing Capra Projects to proceed with the work.

  • * Where the client has signed or otherwise accepted an earlier version, that version will continue to apply to the relevant project unless the parties agree to an amendment in writing.

  • * Updated Terms and Conditions will not retrospectively remove any rights or obligations that arose before the effective date of the amendment, except where permitted or required by law.

  • * The current Terms and Conditions will be available on the Capra Projects website www.cparaprojects.com or provided to the client upon request.

Breach

  • A breach of these Terms and Conditions may result in suspension of manufacturing, delivery or installation.

  • Capra Projects reserves the right to institute legal proceedings to recover outstanding amounts, damages, collection costs and to enforce its rights.

  • The client will be liable for reasonable legal and collection costs incurred in recovering overdue amounts, to the extent permitted by law.
